General Terms of Service

Acceptance of Terms

By using the services of TW3 Partners SAS (hereinafter “TW3 Partners”), you expressly accept these general terms of service. If you do not accept these terms, please refrain from using our services.

Description of Services 

TW3 Partners provides specialized services in the field of Artificial Intelligence (AI), including: 

• AI Audit & Consulting: Needs assessment, analysis of AI implementation opportunities, and strategic recommendations for AI technology adoption. 
• Development and Integration of AI Solutions: Design, development, and deployment of customized AI solutions, as well as integration of these solutions into clients’ existing systems. 
• Specific Use Cases: Identification and implementation of AI use cases tailored to each client’s particular needs, optimizing business processes and creating added value.
• AI Technology Training for Staff: Customized training programs to enable client teams to effectively understand, use, and maintain the implemented AI solutions.

Client Obligations 

The client agrees to: 

• Provide TW3 Partners with all necessary information for the delivery of services 
• Promptly respond to requests for information 
• Make necessary decisions within agreed timeframes 
• Designate a primary contact for the duration of the project 
• Respect agreed payment deadlines

Pricing and Payment 

4.1 Service fees are calculated according to the rate in effect at the time of contract signing.

4.2 Invoicing is carried out according to the terms specified in the service contract.

4.3 Payment is due within 30 days from the invoice date, unless otherwise stated in the contract. 

4.4 Any late payment will result in the application of late payment penalties at the legal rate in force.

Intellectual Property 

5.1 Unless otherwise stated in writing, all intellectual property rights related to the services and results of the services remain the exclusive property of TW3 Partners. 

5.2 The client benefits from a non-exclusive and non-transferable license to use the deliverables provided as part of the services.

5.3 TW3 Partners guarantees that it holds all necessary rights to provide the services and that these do not violate any third-party intellectual property rights.

Confidentiality 

6.1 TW3 Partners commits to maintaining strict confidentiality of information provided by the client. 

6.2 This confidentiality obligation extends to all employees and subcontractors of TW3 Partners. 

6.3 The client also agrees to preserve the confidentiality of information related to TW3 Partners’ methods and tools.

6.4 Confidentiality obligations persist for 5 years after the end of the contract.

Personal Data Protection 

7.1 TW3 Partners commits to comply with current regulations regarding personal data protection, particularly the General Data Protection Regulation (GDPR). 

7.2 Personal data collected is used solely for the provision of services and is not transmitted to third parties without prior consent.

Limitation of Liability 

8.1 TW3 Partners’ liability is limited to the total amount of fees received for the project in question. 

8.2 TW3 Partners shall not be held responsible for indirect, special, consequential, or exemplary damages arising from the use of services. 

8.3 The client is solely responsible for decisions made based on recommendations provided by TW3 Partners.

Termination 

9.1 Each party may terminate the contract with 30 days written notice. 

9.2 In case of serious breach by one party of its obligations, the other party may terminate the contract with immediate effect after formal notice has remained without effect for 15 days. 

9.3 In case of termination, the client is required to pay for all services provided up to the effective date of termination.

Force Majeure 

TW3 Partners shall not be held responsible for delays or failures in performing its obligations resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, strikes, armed conflicts, or major computer system failures.

Applicable Law and Jurisdiction

11.1 These general terms of service are governed by French law. 

11.2 Any dispute relating to the interpretation or execution of these terms will be subject to the exclusive jurisdiction of the Commercial Court of Paris.

Modifications 

TW3 Partners reserves the right to modify these general terms of service. Modifications will be notified to the client and will be applicable for any new contract or renewal of existing contract.

Severability 

If any provision of these terms is deemed invalid or unenforceable, the other provisions will remain in effect and will be interpreted to best reflect the original intent of the parties.

Entire Agreement 

These general terms of service, as well as any specific contract concluded between TW3 Partners and the client, constitute the entire agreement between the parties regarding the subject matter of the services.
